Scope:

The client needed expert support and additional resources to review and negotiate terms and conditions, including the Statement of Work, with the supplier.

Key Business Benefits:

Commercial benefits:

Software Development & licence re-negotiation on key terms and conditions with significant improvement and risk mitigation for the client.

Key clauses renegotiated and achieved include:

  • Limitation of liability
  • Intellectual Property Rights (IPR)
  • Change Control
  • Contract Variation
  • Warranties & Indemnities
  • Force Majeure
The Turnstone Approach:

Turnstone negotiated a hybrid fixed price/time and materials approach, significantly reducing the risk of non-delivery.

The project was split into two phases – phase 1 involves fixed price scoping and production of a requirements/deliverables document.

Phase 2 - delivery, installation and configuration is on a time & materials basis ensuring that payment will stop in case of non delivery.

The Statement of Work  was revised and updated to include defined deliverables and acceptance sign-off including key exit points.

The team achieved software licence agreement to ensure that should the client not proceed beyond Phase 1 they could return the licences without any resulting penalty payment.

“Thanks Turnstone for their efforts here - this was turned around much more quickly than expected.”
